Terms & Conditions

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Vine e-ID Limited ("Vine", "we", "us", or "our"), a company incorporated in Nigeria, governing your access to and use of our digital identity platform, including our mobile application, website, APIs, and related services (collectively, the "Services").

By creating an account, accessing, or using our Services, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, you must not use our Services.

If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

Key terms used throughout this agreement:

To use Vine e-ID, you must:

• Be at least 18 years of age, or the age of majority in your jurisdiction
• Be a Nigerian citizen or legally resident in Nigeria, unless otherwise permitted
• Have a valid National Identity Number (NIN) or eligible alternative identifier
• Not be prohibited from using the Services under applicable law
• Not have had a Vine e-ID account previously suspended or terminated for breach

We reserve the right to refuse service, terminate accounts, or limit access at our sole discretion where eligibility requirements are not met.

To access certain features, you must register for a Vine e-ID account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information
• Keep your login credentials, recovery phrase, and device secure
• Accept responsibility for all activity that occurs under your account
• Notify us immediately at support@vine-eid.ng if you suspect unauthorised access

You may not transfer your account to another person without our prior written consent. We are not liable for losses arising from unauthorised use of your account where you have failed to maintain adequate security.

Vine e-ID provides digital identity verification, credential issuance, and authentication services. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for personal or authorised business purposes.

Our Services enable you to:

• Verify your identity using NIN, BVN, and biometric data
• Receive and manage verifiable digital credentials
• Authenticate with third-party services via selective disclosure
• Access business APIs and integrations where you hold a valid subscription

We may modify, suspend, or discontinue any part of the Services at any time. We will provide reasonable notice where practicable for material changes affecting your use.

Identity verification is a core function of Vine e-ID. By submitting verification data, you authorise us to:

• Verify your identity against NIMC, BVN databases, and other authorised sources
• Process biometric data for liveness detection and identity matching
• Issue digital credentials based on verified attributes
• Share verification results with partners you explicitly authorise

Verification outcomes are based on data provided by third-party sources. We do not guarantee that all verification requests will succeed. Failed verifications may result from incomplete data, system unavailability, or regulatory restrictions.

You acknowledge that providing false identity information constitutes a material breach of these Terms and may constitute a criminal offence under Nigerian law.

You agree not to engage in any of the following:

Violation of these restrictions may result in immediate account suspension, termination, reporting to law enforcement, and pursuit of legal remedies.

All content, software, trademarks, logos, and technology comprising the Services are owned by Vine e-ID or our licensors and are protected by Nigerian and international intellectual property laws.

You retain ownership of your personal data. By using the Services, you grant us a limited licence to process your data solely to provide, maintain, and improve the Services, as described in our Privacy Policy.

You may not copy, modify, distribute, sell, or lease any part of our Services or included software without our express written permission.

The Services may integrate with or link to third-party platforms, including financial institutions, government databases, and business partners. We are not responsible for the content, policies, or practices of third-party services.

When you authorise a verification partner to access your credentials, you enter into a separate relationship with that partner governed by their terms and privacy policies. Vine e-ID facilitates the exchange but is not a party to transactions between you and third parties.

Basic identity verification may be offered free of charge. Premium features, business API access, and enterprise integrations are subject to fees as published on our pricing page or agreed in a separate commercial contract.

• All fees are quoted in Nigerian Naira (₦) unless otherwise stated
• Subscription fees are billed in advance on a recurring basis
• Refunds are provided only where required by law or expressly stated in your plan
• We may change pricing with 30 days' notice to existing subscribers

Failure to pay applicable fees may result in suspension or downgrade of your account and access to paid features.

To the maximum extent permitted by Nigerian law, Vine e-ID shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Services.

Our total aggregate liability for any claims arising under these Terms shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) ₦50,000.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable Nigerian law.

You may close your account at any time through the app settings or by contacting support. Upon termination, your access to the Services will cease, subject to our data retention obligations under the NDPR and applicable regulations.

We may suspend or terminate your account immediately if you:

• Breach these Terms or our Privacy Policy
• Engage in fraudulent or illegal activity
• Pose a security risk to the platform or other users
• Fail to pay applicable fees when due
• Are required to be removed by law or regulatory authority

Provisions that by their nature should survive termination — including intellectual property, liability limitations, indemnification, and governing law — will remain in effect.

Before initiating formal proceedings, you agree to contact us at legal@vine-eid.ng to attempt to resolve the dispute informally within 30 days.

For business and enterprise customers, disputes may alternatively be resolved through arbitration in Lagos under the Arbitration and Mediation Act 2023, where agreed in a separate commercial contract.

We may revise these Terms from time to time. When we make material changes, we will notify you by posting the updated Terms on our website, through the app, or by email at least 14 days before the changes take effect.

Your continued use of the Services after the effective date constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Services and close your account.
